These Terms & Conditions ("Terms") govern your access to and use of RestaurantGuru.ca and all related websites, applications, and services (collectively, the "Platform") operated by Restaurant Guru Technologies INC ("RestaurantGuru," "we," "us," or "our"). By accessing or using the Platform, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account, listing a restaurant, posting a deal, placing an order, or otherwise using the Platform, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must not use the Platform.

2. Eligibility

You must be at least 18 years of age, or the age of majority in your province or territory, to use the Platform. By using the Platform, you represent that you meet this requirement and have the legal capacity to enter into these Terms.

3. Definitions

  • "User" means any person who accesses or uses the Platform.
  • "Restaurant Partner" means a business that creates a listing or uses our tools.
  • "Diner" means a User who discovers restaurants or places orders.
  • "Content" means any text, images, menus, deals, reviews, or other material submitted to the Platform.

4. Account Registration

To access certain features, you may be required to create an account. You agree to provide accurate, current, and complete information and to keep it updated. You are responsible for maintaining the confidentiality of your login credentials.

5. Account Security

You are responsible for all activity that occurs under your account. Notify us immediately of any unauthorized use or security breach. We are not liable for any loss arising from your failure to protect your credentials.

6. Free Restaurant Listings

Restaurant Partners may create a free listing on the Platform. Listings must contain accurate business information. We reserve the right to review, edit, or remove any listing that violates these Terms.

7. Deal Posting

Restaurant Partners may post deals and promotions free of charge. All deals must be genuine, honoured as advertised, and compliant with applicable laws. You are solely responsible for the accuracy and fulfilment of your deals.

8. Optional Paid Technology

We offer optional paid technology solutions, including online ordering, QR ordering, self-service kiosks, and chatbot services. Use of these services is subject to additional terms and fees as presented at the time of purchase.

9. Fees and Payment

Fees for optional paid services are described at the point of sale. All fees are stated in Canadian dollars (CAD) unless otherwise noted. You authorize us to charge your designated payment method for all applicable fees.

10. Billing and Subscriptions

Subscription services renew automatically unless cancelled before the renewal date. You may manage or cancel subscriptions through your account settings. Fees already paid are non-refundable except as required by law.

11. Taxes

You are responsible for all applicable taxes, including GST, HST, PST, and QST, associated with your use of paid services or your sale of goods through the Platform.

12. Orders and Transactions

When a Diner places an order, the contract for the sale of food is between the Diner and the Restaurant Partner. RestaurantGuru facilitates the transaction but is not a party to the sale.

13. Order Accuracy and Fulfilment

Restaurant Partners are solely responsible for preparing, fulfilling, and delivering orders accurately and in compliance with food safety laws. We are not responsible for the quality, safety, or legality of any food.

14. Cancellations and Refunds

Cancellation and refund policies for orders are set by each Restaurant Partner. Disputes regarding orders should be directed to the Restaurant Partner first. We may assist in resolving disputes at our discretion.

15. User Content

You retain ownership of Content you submit. By submitting Content, you grant us a worldwide, non-exclusive, royalty-free, sublicensable license to use, display, reproduce, and distribute that Content in connection with operating and promoting the Platform.

16. Content Standards

All Content must be accurate, lawful, and non-infringing. You must not post Content that is defamatory, obscene, misleading, discriminatory, or that violates the rights of others.

17. Reviews and Ratings

Reviews must reflect genuine experiences. We prohibit fake, incentivized, or manipulated reviews. We reserve the right to remove reviews that violate these Terms.

18. Prohibited Conduct

You agree not to:

  • Use the Platform for any unlawful purpose.
  • Interfere with or disrupt the Platform or its servers.
  • Attempt to gain unauthorized access to any system or account.
  • Scrape, harvest, or collect data without authorization.
  • Impersonate any person or misrepresent your affiliation.

19. Intellectual Property

The Platform and all associated software, trademarks, logos, and content (excluding User Content) are owned by or licensed to RestaurantGuru and are protected by intellectual property laws.

20. License to Use the Platform

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for its intended purpose, subject to these Terms.

21. Third-Party Services

The Platform may integrate with or link to third-party services. We are not responsible for the content, policies, or practices of any third party. Your use of third-party services is at your own risk.

22. Delivery Services

Where delivery is offered, delivery areas, times, and fees are determined by the Restaurant Partner or its delivery provider. We do not guarantee delivery times or availability.

23. Availability of the Platform

We strive to keep the Platform available but do not guarantee uninterrupted access. We may suspend or discontinue any part of the Platform at any time without notice.

24. Modifications to the Platform

We may add, modify, or remove features of the Platform at our discretion. We are not liable to you or any third party for any such changes.

25. Beta Features

We may offer beta or experimental features. These are provided "as is," may contain errors, and may be modified or withdrawn at any time without notice.

26. Privacy

Your use of the Platform is subject to our Privacy Policy, which explains how we collect, use, and protect your personal information.

27. Communications

By using the Platform, you consent to receive communications from us electronically, including service announcements, administrative messages, and, where permitted, marketing communications. You may opt out of marketing communications at any time.

28. Data Accuracy

We rely on information provided by Restaurant Partners and third parties. We do not warrant the accuracy, completeness, or currency of any listing, menu, price, or deal.

29. Compliance with Laws

You agree to comply with all applicable federal, provincial, territorial, and local laws and regulations in connection with your use of the Platform.

30. Food Safety and Licensing

Restaurant Partners represent and warrant that they hold all required licenses, permits, and certifications, and comply with all applicable food safety and health regulations.

31. Indemnification

You agree to indemnify, defend, and hold harmless RestaurantGuru and its affiliates, officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses arising from your use of the Platform or breach of these Terms.

32. Disclaimer of Warranties

The Platform is provided "as is" and "as available" without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

33. Limitation of Liability

To the maximum extent permitted by law, RestaurantGuru shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, arising from your use of the Platform.

34. Maximum Liability

Our total aggregate liability for any claim arising out of or relating to these Terms or the Platform shall not exceed the greater of the amounts you paid to us in the twelve (12) months preceding the claim or one hundred Canadian dollars (CAD $100).

35. Suspension and Termination

We may suspend or terminate your account or access to the Platform at any time, with or without cause or notice, including for violation of these Terms.

36. Effect of Termination

Upon termination, your right to use the Platform ceases immediately. Provisions that by their nature should survive termination shall survive, including intellectual property, indemnification, and limitation of liability.

37. Dispute Resolution

In the event of a dispute, you agree to first contact us to seek an informal resolution. Most disputes can be resolved without the need for formal proceedings.

38. Governing Law

These Terms are governed by and construed in accordance with the laws of the Province of Alberta and the federal laws of Canada applicable therein, without regard to conflict of law principles.

39. Jurisdiction

You agree to submit to the exclusive jurisdiction of the courts located in Alberta, Canada, for the resolution of any disputes not resolved informally.

40. Force Majeure

We are not liable for any failure or delay in performance caused by events beyond our reasonable control, including natural disasters, outages, labour disputes, or governmental actions.

41. Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign these Terms at any time without restriction.

42. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

43. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated through the Platform or by other reasonable means. Your continued use after changes take effect constitutes acceptance of the revised Terms.
